Terms of Service

Draft: not yet in effect

1. Who we are

These Terms of Service ("Terms") are an agreement between you (the business that signs up, "you") and OST Desk ("OST Desk", "we", "us"). They apply to the OST Desk platform, the client portal and every service we provide through it.

By creating an account or using the service you confirm that you act for a business, that you are authorised to bind it, and that you accept these Terms, the Acceptable Use Policy, the Refund Policy, the Account Closure Policy and the Privacy Policy.

2. The service

OST Desk provides advertising accounts and the tools to fund and monitor them:

  • advertising accounts on supported networks, operated in our business infrastructure and shared with your business;
  • a wallet you top up, and from which you fund your ad accounts;
  • spend, balance and account-status visibility in the client portal;
  • support from our ops desk.

We are not affiliated with, endorsed by or acting for Meta, Google, TikTok or any other advertising network. Each network decides independently whether accounts, ads and businesses may run on it. We cannot guarantee that any account, ad or campaign will be approved, will stay active or will not be restricted.

3. Eligibility and onboarding

  • You must be a legally registered business or a sole trader acting in a business capacity, and at least 18 years old.
  • We review every application and may decline any application without giving reasons.
  • You must give accurate information and keep it current. We may ask for documents to verify your business and the source of your funds.
  • You may not open an account to replace one that we, or an advertising network, have closed or restricted.

4. Your responsibilities

  • Comply with the advertising policies of every network you advertise on, and with the Acceptable Use Policy.
  • You are responsible for your ads, landing pages, products, claims and targeting, and for any licences they need.
  • Keep your login details confidential; you are responsible for activity under your account.
  • Tell us promptly if an ad account is restricted, or if you suspect unauthorised access.
  • Do not use the service to evade a restriction that an advertising network has placed on you, your business, your products or your content.

5. Fees and payment

  • Current fees are on the Pricing page and shown in the portal before you confirm an action. Fees for a specific account may be agreed with you in writing.
  • Monthly account fees are charged from your wallet at the start of each billing period. If your wallet can't cover a fee, the account enters a grace period and may later be paused, then closed.
  • Top-up and funding fees are deducted when the transaction is made.
  • Funds moved from your wallet to an ad account are subject to the rules of that advertising network and can't be reclaimed by us.
  • Refunds are covered by the Refund Policy.
  • If a partner introduced you, we may pay them a share of the fees you pay us.

6. Suspension and termination

We may suspend or close your account, pause campaigns or withhold funding when:

  • you breach these Terms or the Acceptable Use Policy;
  • an advertising network restricts an account because of your ads, content or conduct;
  • we're required to by law, or we reasonably suspect fraud, money laundering or a chargeback;
  • fees remain unpaid after the grace period.

You may close your account at any time under the Account Closure Policy.

7. Liability

  • The service is provided "as is". To the extent the law allows, we exclude all implied warranties.
  • We are not liable for decisions made by advertising networks, for lost profits or revenue, for loss of data you could have backed up, or for indirect or consequential loss.
  • Our total liability for any claim is limited to the fees you paid us in the 3 months before the event giving rise to the claim.
  • Nothing in these Terms limits liability that can't be limited by law.

8. Changes

We may change these Terms. We will give at least 30 days' notice of material changes by email or in the portal. Continuing to use the service after the effective date means you accept the change.

9. Law and disputes

These Terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, unless mandatory law gives you a right to bring a claim elsewhere.
